Notice to the Market – Completion of the issues of debentures | Ecovias dos Imigrantes and Ecovias Raposo Castello
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “EcoRodovias”), its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. (“ECS”) and its indirect subsidiaries CONCESSIONÁRIA ECOVIAS DOS IMIGRANTES S.A. (“Ecovias dos Imigrantes”) and CONCESSIONÁRIA ECOVIAS RAPOSO-CASTELO S.A. (“Ecovias Raposo Castello,” together with Ecovias dos Imigrantes, “Concessionaires”), hereby inform their shareholders and the market of the completion of the issues of debentures by the Concessionaires, in the amount of R$3.6 billion, as described below:
Ecovias dos Imigrantes: 7th issue of debentures in the amount of R$1.4 billion, at the cost of CDI + 1.25% p.a. and maturing in February 2032 (7 years), to refinance the concessionaire’s existing debts and strengthen cash reserves.
Ecovias Raposo Castello: 1st issue of incentivized debentures in the amount of R$2.2 billion, at the cost of IPCA + 8.18% p.a., with interest and principal maturing in March 2029 (4 years), for payment of the fixed concession fee to the concession authority and execution of initial investments. With this issue, Ecovias Raposo Castello met its funding needs for the coming four years.
Therefore, with the conclusion of the long-term financing of EcoRioMinas, in the amount of R$8.0 billion, EcoRodovias completed the financial structuring of loans amounting to R$11.6 billion in the first quarter of 2025, with R$5.0 billion disbursed in the quarter, thereby meeting the Company’s funding needs for the first half of the year and extending the average term of its debt.
EcoRodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3 and will disclose all and any material information in accordance with applicable laws.
