Notice to the Market – Recognition of the economic and financial imbalance caused by Covid-19 at Ecovias Imigrantes
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A., its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. and its indirect subsidiary CONCESSIONÁRIA ECOVIAS DOS IMIGRANTES S.A. hereby inform their shareholders and the market that the São Paulo State Public Transport Regulatory Agency (ARTESP) has recognized the economic-financial imbalance in the Ecovias Imigrantes Concession Agreement, due to the impact of the Covid-19 pandemic on toll revenue between March 2020 and December 2022, as published in the Official Gazette of the State of São Paulo on 12/5/2025.
The economic-financial imbalance, updated to July 2025 values, corresponds to R$138 million, net of taxes.
With the recognition of the imbalance, now ARTESP will determine the appropriate rebalancing method to formalize the respective Contractual Amendment.
The recognition of economic-financial imbalances underscores the ongoing development and strength of the regulatory framework governing state and federal highway concessions, particularly in light of the challenges involved in assessing events that impact concession agreements.
The Company reaffirms its commitment to its obligations as a publicly held corporation listed on the Novo Mercado segment of the B3 stock exchange, and will disclose all and any material information in accordance with the applicable legislation.
