Notice to the Market – Ecovias dos Imigrantes Agreement Signed
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “Ecorodovias”), ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. and CONCESSIONÁRIA ECOVIAS DOS IMIGRANTES S.A., (“Concessionaire”) hereby inform their shareholders and the market that the Concessionaire, the São Paulo State Logistics and Transportation Department and the São Paulo State Public Transportation Services Regulatory Agency (“ARTESP”) signed Amendment 20/2022 (“Amendment 20/2022”) to the Contract 007/CR/1998 (“Concession Agreement”) on March 31, 2022.
Amendment 20/2022 established that the Concessionaire will carry out additional works on the access to Bairro Jardim Casqueiro, located at km 59+850 of the Anchieta Highway, by laying a collector lane on the north lane and an access ramp in the overpass to Av. Joaquim Jorge Peralta, in addition to other interventions. The works will improve the accesses, safety and reduce congestion in this region in the city of Cubatão, São Paulo, and will be concluded by September 2023.
The works and services total R$72.7 million (base date: Sep/2021), which will impact the economic and financial balance of the Concession Agreement at an Internal Rate of Return (IRR) of 8.583%, to be rebalanced in favor of the Concessionaire through an extension of the term by 62 days, to end on January 21, 2034, considering the traffic projected according to ARTESP’s methodology, which may vary based on future traffic measurements, using the Marginal Cash Flow methodology.
Ecorodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3 and will disclose all and any material information in accordance with applicable laws.
