Notice to the Market – Amendment Signature – Ecovias dos Imigrantes
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “EcoRodovias”), ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. and CONCESSIONÁRIA ECOVIAS DOS IMIGRANTES S.A. (“Concessionaire”), hereby inform their shareholders and the market that on September 30, 2022, the Concessionaire, the São Paulo State Logistics and Transport Department and the São Paulo State Public Transportation Services Regulatory Agency (“ARTESP”) signed Amendment 021/2022 (“Amendment 021/2022”) to Agreement 007/CR/1998 (“Concession Agreement”). Amendment 021/2022 was duly published in the state register Diário Oficial do Estado de São Paulo on October 4, 2022.
Amendment 021/2022 established that the Concessionaire will carry out additional works for building the “Rota Marcia Prado” Bicycle Path and Footbridge between km 38 and km 42 of the Rodovia dos Imigrantes (SP 160). This project will ensure greater road safety for cyclists who access the stretch bound for the coastal cities, by segregating bicycle traffic from vehicle traffic on the Rodovia dos Imigrantes and will be completed by October 2023.
The works and services total R$17.2 million (baseline: Mar/2022), which will impact the economic and financial balance of the Concession Agreement at an Internal Rate of Return (IRR) of 9.46%, to be rebalanced in favor of the Concessionaire through an extension of the term by 21 days. As a consequence, the Concession Agreement will end on February 11, 2034, considering the traffic projected according to ARTESP’s methodology, which may vary based on future traffic measurements, using the Marginal Cash Flow methodology.
EcoRodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3, and will disclose all and any material information in accordance with applicable laws.
