Notice to the Market – 1st Amendment to the Agreement for the Eco135 Concession
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “Ecorodovias”), ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. and ECO135 CONCESSIONARIA DE RODOVIAS S.A., (“Concessionaire“), hereby inform their shareholders and the market that the Concessionaire and the State of Minas Gerais, through the State Infrastructure and Mobility Department – SEINFRA (“Concession Authority“), signed on June 29, 2022, the 1st Amendment (“Amendment”) to the Agreement SETOP 004/2018 for the BR135 Concession (“Concession Agreement”), which will result in rebalancing in favor of the Concessionaire through a full discount in the concession fee for 30 months from the start of operations on the highway segment called the Montes Claros Ring Road (“Ring Road”) by the Concessionaire.
The discount on the total concession fee to be paid by the Concessionaire to the Concession Authority is R$244 million (baseline: March 2022), which represents a reduction of about 20% in the present value of future obligations.
The purpose of the Amendment is the inclusion, in the Concession Agreement, of the Ring Road comprising 14.09 km of highways, which include 4.45 km of new stretches to be built and 9.64 km of an existing stretch to be restored and adapted. Total cost of work on the Ring Road is R$230 million (baseline: March 2022), generating an impact on the economic and financial balance of the Concession Agreement at a real unleveraged internal rate of return (IRR) of 8.47% p.a. in favor of the Concessionaire, according to the Marginal Cash Flow methodology.
The Amendment also establishes the exclusion of an urban stretch of Montes Claros spanning 3.1 km, which will be excluded from the Concession Agreement together with the start of operation of the Ring Road, scheduled for January 2024, in the total amount of R$44 million (baseline: March 2022).
Ecorodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3, and will disclose all and any material information in accordance with applicable laws.
