Material Fact – Statement regarding the intention to be included in the re-bidding process – Eco101
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “EcoRodovias”) and its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S. A. (“ECS”), in compliance with paragraph 4 of Article 157 of Federal Law 6,404/1976, as amended, and with Resolution 44/2021 of the Securities and Exchange Commission of Brazil (CVM), hereby inform shareholders and the public that the direct subsidiary of ECS, ECO101 CONCESSIONÁRIA DE RODOVIAS S. A. (“ECO101”), filed, on July 15, 2022, with the National Ground Transportation Agency (ANTT), a formal statement of its intention to be included in the re-bidding process, which comprises the friendly devolution of the Concession Agreement and execution of an Amendment to the Concession Agreement providing new contractual conditions until a new bidding process is carried out for the highway, in connection with the Concession Agreement originally entered into with ANTT, pursuant to Federal Law 13,448/2017, regulated by Decree 9,957/2019.
ECO101 reiterates that it will continue to provide all services normally, to protect the interests and safety of users of Highway BR-101/ES/BA.
Inclusion in the re-bidding process will become binding only after having fulfilled the procedures described in articles 3 to 6 of Decree 9,957/2019 and having entered into the Amendment to the Concession Agreement provided for in article 15, of Federal Law 13,448/2017.
EcoRodovias reaffirms its commitment to the development of Brazil’s highway infrastructure and to managing efficiently, undertaking investments and providing services for over 4,000 kilometers of highways across eight states. For over 20 years, the Company has remained committed to the Granting Authorities, prioritizing the sustainable social and economic development of the regions in which it operates.
The Company will keep its shareholders and the market informed of all additional information regarding this topic.
