Material Fact – Signing of the Amendment to the Concession Agreement of Ecovias 101
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“EcoRodovias” or “Company”), its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. (“ECS”) and its indirect subsidiary ECO101 CONCESSIONÁRIA DE RODOVIAS S.A. (“Ecovias 101”), in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and Resolution 44/21 issued by the Securities and Exchange Commission of Brazil, and in connection with the Material Fact notice disclosed on June 26, 2025, hereby inform that a Contractual Amendment for the optimization of the Ecovias 101 Concession Agreement has been executed on the date hereof, with a term of twenty-four (24) years as from the date hereof, preserving the continued provision of services on the BR-101/ES/BA highway, in accordance with the conditions established by the plenary of the Federal Accounting Court (TCU) on its decisions 1,996/2024 and 513/2025.
The signing of the Amendment to the Concession Agreement represents a new milestone for Ecovias 101 in the management of the BR-101/ES/BA highway, reaffirming its commitment to the continuity of and safety in the implementation of infrastructure and provision of services to highway users. Additionally, from this point forward, the concessionaire will operate under the name Ecovias Capixaba.
