Material Fact – Payment of Dividends
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “EcoRodovias”), in compliance with paragraph 4 of article 157 of Federal Law 6,404/76, as amended, and Resolution 44/21 issued by the Securities and Exchange Commission of Brazil, hereby informs its shareholders and the market that, at a meeting held on July 30, 2025, the Board of Directors approved the payment of dividends related to fiscal year 2024, in the amount of R$214,723,000.38 (two hundred fourteen million, seven hundred twenty-three thousand reais and thirty-eight centavos), corresponding to R$0.30867804540 per common share of the paid-in capital stock, except for treasury shares, as declared at the Annual Shareholders Meeting of the Company held on April 17, 2025, at 2:30 p.m.
Holders of shares at the close of August 4, 2025 will be entitled to dividends, and starting from August 5, 2025 the shares will be traded ex-dividends.
Dividends will be paid as from August 29, 2025, in accordance with the following instructions:
1) For shares held in custody by the Share Depository Center of the B3, the amounts will be paid to the latter, which will transfer the amounts to shareholders through its custodian institutions;
2) Other shareholders will have their dividends credited to the checking account whose details are registered with Itaú Corretora de Valores S.A., the Company’s transfer agent;
3) Shareholders whose bank data is not available with the Company or who do not have a checking account in a financial institution should visit any branch of Banco Itaú with an identification document, proof of bank data and proof of address for update of registration data in the records.
