Material Fact – Paraná Agreement

ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company”) and its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. (“ECS”), in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and with Resolution 44/21, issued by the Securities and Exchange Commission of Brazil, hereby informs its shareholders and the market that, on the date hereof, the Global Settlement Agreement for the Resolution of Disputes (“Global Agreement”) was judicially ratified, following mediation proceedings before the Federal Regional Court of the 4th Region (TRF4), between the subsidiaries CECM Concessões S.A., formerly named Concessionária Ecovia Caminho do Mar S.A., and RDC Concessões S.A., formerly named Rodovia das Cataratas S.A. – Ecocataratas (“Paraná Concessionaires”), the State of Paraná (“State”), the Paraná State Department of Highways (“DER/PR”), the Federal Prosecution Office (“MPF”), the Paraná Regulatory Agency for Delegated Public Infrastructure Services (“AGEPAR”), and the Office of the Attorney General of the State of Paraná (“PGE”), jointly, the “Parties.”

The Global Agreement addresses pending matters related to the concession agreements of the Paraná Concessionaires (“Concession Agreements”), establishing the settlement of: (i) the administrative proceedings and lawsuits between the parties, with emphasis on those described in note 22.1 of the Financial Statements for the year ended December 31, 2025; and (ii) the events of imbalance in the economic-financial equation of the Concession Agreements that had not been resolved upon termination of the concessions. In return, the Concessionaires jointly undertake to disburse the amount of R$45,200,000.00, on the base date of July 2025, through the execution of a project defined by DER/PR and accepted by the Parties. The Concessionaires will also pay R$500,000.00, on the base date of July 2025, to AGEPAR for the settlement of administrative notices of violation.

The Global Agreement also provides for the full performance of the obligations assumed under the Leniency Agreement, executed on August 12, 2019, with their corresponding full release and discharge.

The Company emphasizes that the execution of the Global Agreement represents an important milestone in resolving pending matters related to the Paraná Concessionaires.

The Company and ECS reaffirm their commitment to their obligations as publicly held companies and will disclose all and any material information in accordance with the applicable laws in force.
