Material Fact – Ordinance published by Autoridade Portuária de Santos maintains the validity of the Ecoporto Lease Agreement.

ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A (“EcoRodovias” or “Company”), in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and Resolution 44/21 of the Securities and Exchange Commission of Brazil (CVM), complementing the Material Fact notice of June 12, 2023, hereby informs its shareholders and the market that DIPRE Ordinance 209.2023 was published on December 1, 2023 signed by the President of the Autoridade Portuária de Santos – APS (“APS”), upholding the validity of Lease Agreement PRES no. 028/1998 (“Lease Agreement”) signed between APS and its direct subsidiary Ecoporto Santos S.A. (“Ecoporto Santos”).

Considering that Ecoporto Santos submitted its Investment Plan for the ordinary renewal of the Lease Agreement, the Ordinance published by APS ensures the continuity of port and cargo warehousing operations carried out by Ecoporto Santos and will be effective for 180 days in order to ensure proper analysis of the request. The maintenance of duration of Lease Agreement does not affect Ecoporto Santos’ rights and obligations, which remain unchanged for the operation of the Port Facilities covering areas measuring 136,400 m² located in the Valongo region on the Right Bank of the Port of Santos.

EcoRodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3, and will disclose all and any material information in accordance with applicable laws.
