Material Fact – Investment Agreement for the Commercial Exploitation of Out-of-Home Media on Highways
MOTIVA INFRAESTRUTURA DE MOBILIDADE S.A. (“Motiva”) and ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“EcoRodovias”), through its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A., in compliance with article 157, paragraph 4, of Federal Law 6,404/76, as amended, and Resolution 44/21 issued by the Securities and Exchange Commission of Brazil, hereby inform their shareholders and the market that, on this date, they entered into the Investment Agreement with ELETROMIDIA SOLUÇÕES S.A. (“Eletromidia”), a direct subsidiary of GLOBO COMUNICAÇÃO E PARTICIPAÇÕES S.A., for the establishment of a strategic partnership for the commercial operation of out-of-home (“OOH”) media on highways (“Transaction”).
The partnership is intended to combine Eletromidia’s experience and commercial capabilities in the OOH media market with Motiva’s and EcoRodovias’ presence and extensive reach in the highway concession sector, supporting the growth of OOH media on highways.
The Transaction will be implemented through the formation of a new company (“NewCo”), responsible for deploying, operating, and trading digital and static OOH media assets on highways. NewCo will be owned by Eletromidia, with a 51.0% interest, and Motiva and EcoRodovias, each with a 24.5% interest in its capital stock.
The completion of the Transaction is subject to approval by Brazil’s Antitrust Agency (CADE) and to the fulfillment of the other customary conditions precedent for this type of transaction.
Motiva and EcoRodovias reaffirm their commitment to meeting their obligations as publicly held companies listed on B3’s Novo Mercado segment. Any and all material information will be disclosed in accordance with applicable laws and regulations in force.
