Material Fact – Decree Re-bidding process BR-101 – Eco101
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “EcoRodovias”) and its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S. A. (“ECS”), in connection with the Material Fact notice disclosed on July 15, 2022 communicating the intention of ECS’ direct subsidiary ECO101 CONCESSIONÁRIA DE RODOVIAS S.A. (“ECO101”) of being included in the re-bidding process of the Concession Agreement, in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and with Resolution 44/21 of the Securities and Exchange Commission of Brazil (CVM), hereby inform its shareholders and the market of the publication on June 1, 2023, on the federal gazette Diário Oficial da União, of Decree 11,539, of May 31, 2023, under which the Federal Government, in connection with the Program of Investment Partnerships of the Federal Government (PPI), approved the federal public project of Highway BR-101/ES/BA.
This is the last administrative stage, which precedes the execution of the Amendment to the Concession Agreement that will govern the re-bidding process.
Pursuant to such Decree, such approval will no longer be effective and will be revoked if the Amendment to the Concession Agreement of the federal public project of Highway BR-101/ES/BA is not executed within ninety (90) days from the publication of the Decree.
ECO101 reiterates that it will continue to provide all services normally, to protect the interests and safety of users of Highway BR-101/ES/BA.
EcoRodovias reaffirms its commitment to the development of Brazil’s highway infrastructure and to managing efficiently, undertaking investments and providing services for over 4,700 kilometers of highways across eight states. For over 20 years, the Company has remained committed to the Granting Authorities, prioritizing the sustainable social and economic development of the regions in which it operates.
