Material Fact – Authorization for the Execution of an Contractual Amendment to the Ecovias Leste Paulista Concession Agreement
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“EcoRodovias” or “Company”), its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. (“ECS”), its indirect subsidiary CONCESSIONÁRIA DAS RODOVIAS AYRTON SENNA E CARVALHO PINTO S.A. – ECOPISTAS (“Ecopistas,” “Ecovias Leste Paulista,” or “Concessionaire”), in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and Resolution 44/21, issued by the Securities and Exchange Commission of Brazil (CVM), hereby informs its shareholders and the market that, as published in the São Paulo State Gazette (“DOESP”) of October 15, 2025, the Board of the São Paulo State Public Transport Regulatory Agency (“ARTESP”) approved, on October 14, 2025, the draft and authorized the execution of Contractual Amendment 3/2025 (“TAM 3/2025”) to Concession Agreement 006/ARTESP/2009 (“Concession Agreement”), which aims to ensure the economic and financial rebalancing of the Concession Agreement by extending the concession term by 40 months and 4 days, with termination set for October 21, 2042.
The economic and financial rebalance took into account investments not originally contemplated in the Concession Agreement–and already made by the Concessionaire–for the extension of the Carvalho Pinto highway.
The Company reaffirms its commitment to its obligations as a publicly held corporation listed on the Novo Mercado segment of the B3 stock exchange, and will disclose all and any material information in accordance with the applicable legislation.
