Material Fact – Admission of request made to amend and optimize the Concession Agreement and constitution of a Consensual Resolution Committee – TCU
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“EcoRodovias” or “Company”), its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. and its indirect subsidiary ECO101 CONCESSIONÁRIA DE RODOVIAS S.A. (“Eco101”), in connection with the Material Fact notices disclosed on July 15, 2022, June 1, 2023 and August 30, 2023, in compliance with paragraph 4 of article 157 of Federal Law 6,404/76, as amended, and Resolution 44/21 issued by the Securities and Exchange Commission of Brazil, hereby inform that on November 10th, 2023, Ordinance SEGECEX/TCU no. 37/2023 was published in the federal gazette Diário Oficial da União – DOU, accepting the request made to amend and optimize the Concession Agreement and formed a Consensual Resolution Committee under the aegis of the External Control Secretariat for Consensual Resolution and Conflict Prevention of the Federal Accounting Court (“TCU”), as prescribed by art. 7 of IN-TCU 91/2022.
The proceeding has been classified confidential, pursuant to art. 5-A, VI, of TCU Resolution 259/2014 (amended by Resolution 358/2023) and paragraph 1 of article 30 of Federal Law 13,140/2015 (Mediation Law).
If the amendment and optimization of the Concession Agreement is authorized, the Re-bidding Amendment signed on August 30, 2023 with the National Land Transportation Agency (ANTT) (“Amendment”) will be canceled and a new amendment will be made to the Concession Agreement. Otherwise, the re-bidding process will continue, as established in the Amendment.
Eco101 will continue to operate the concession stretch in order to safeguard the interests and safety of users of the BR-101/ES/BA Highway.
