Material Fact – Ecoporto Transition Agreement

ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“EcoRodovias”), in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and Resolution 44/21 issued by the Securities and Exchange Commission of Brazil (CVM), hereby informs its shareholders and the market that, on May 27, 2026, its direct subsidiary Ecoporto Santos (“Ecoporto”) has entered into Transition Agreement DIPRE-DINEG/02.2026 (“Transition Agreement”) with Autoridade Portuária de Santos S.A. – APS (“APS”), under the terms of DIREXE Decision no. 213.2026-APS.

The Transition Agreement ensures the continuity of operations and will be effective for twelve (12) months, starting on May 31, 2026. After this period, if the bidding process for the lease of the area has not been completed, APS may authorize the execution of a new agreement.

EcoRodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3 and will disclose all and any material information in accordance with applicable laws.
