Material Fact – Signing of the Settlement Agreement of Ecovias 101
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“EcoRodovias” or “Company”), its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. and its indirect subsidiary ECO101 CONCESSIONÁRIA DE RODOVIAS S.A. (“Ecovias 101” or “Eco101”), in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and Resolution 44/21, issued by the Securities and Exchange Commission of Brazil, hereby inform that, on March 17, 2025, Ecovias 101, the Federal Government (through the Ministry of Transports) and the National Ground Transportation Agency – ANTT (“ANTT”) signed, with the intervention of the Federal Accounting Court – TCU (“TCU”), the Settlement Agreement resulting from the consensus about the settlement of disputes related to the Concession Agreement of BR-101/ES/BA highway.
Additionally, the Company informs that, with the execution of the Settlement Agreement, ANTT approved and authorized the publication of the bid notice of the bidding process, which will be an auction to be carried out on June 26, 2025. The criterion to select the best proposal will be the lowest toll tariff, for the sale of 100% of Ecovias 101’s shares.
After the conclusion of the auction, a Contractual Amendment to the Concession Agreement will be executed with the auction winner, ensuring continuity of the service provision on BR-101/ES/BA highway and safeguarding the interest and safety of the users.
