Notice to the Market – Signing of Ecovias Imigrantes’ Contractual Amendment

ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “EcoRodovias”), ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. and CONCESSIONÁRIA ECOVIAS DOS IMIGRANTES S.A. (“Ecovias Imigrantes” or “Concessionaire”), complementing the Notices to the Market disclosed on January 11 and 30, 2024, hereby inform the shareholders and the market that the Concessionaire and the São Paulo State Public Transport Regulatory Agency (“ARTESP”) signed on June 25, 2025, the Preliminary Contractual Amendment No. 22/2025 to the Concession Agreement No. 007/CR/1998, which aims to incorporate, into the Concession Agreement, through a future contractual rebalancing (“Contractual Rebalancing“), the responsibility for preparing all studies and respective functional and executive projects necessary for the future construction and implementation of new infrastructure, aiming at increasing the capacity of the Anchieta-Imigrantes System, for a new connection between the Planalto and Baixada Santista regions (3rd lane on the Imigrantes Highway in the mountain stretch).

The Contractual Rebalancing, in favor of the Concessionaire, of the costs related to the incorporated scope will be calculated using the marginal cash flow methodology, in accordance with ARTESP’s regulations and as approved by it, upon submission of supporting documentation.

EcoRodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3 and will disclose all and any material information in accordance with applicable laws.
