The basic function of the Fiscal Council (“Council”) is to advise the Board of Directors EcoRodovias to ensure that the business is managed in compliance with the law, ethical principles and the Company’s internal controls.
The Committee’s main duties are to:
- Advise the Board to ensure that the business is managed in compliance with applicable law, ethical principles and internal controls that are effective against errors, losses and fraud;
- Monitor and evaluate the activities of the independent auditors, systematically communicating with the auditors, as well as evaluating and recommending their engagement;
- Supervise the process for preparing the financial statements, monitor the works of the internal audit, ensure its independence, evaluate its performance and recommend the engagement, dismissal or replacement of internal auditors;
- Evaluate the Internal Control systems involving financial, accounting and legal aspects, as well as the Compliance actions.
