Material Fact – Purchase of interest in the subsidiary Ecosul by Ecorodovias Concessões e Serviços
São Paulo, January 16, 2018 – ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Ecorodovias”), its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. (“ECS”) and its indirect subsidiary EMPRESA CONCESSIONÁRIA DE RODOVIAS DO SUL S.A. – ECOSUL (“Ecosul”) in compliance with paragraph 4 of article 157 of Federal Law 6,404/76, as amended, and Instruction 358/02 of the Securities and Exchange Commission of Brazil (“CVM”), hereby inform their shareholders and the market that ECS entered into Share Purchase Agreement with Grant Concessões e Participações Ltda. (“Grant”), for the acquisition, by ECS, of 10% of the capital stock of Ecosul, currently held by Grant.
The conclusion of the acquisition is subject to fulfillment of conditions precedent typical to transactions of this kind, which include prior communication to the National Ground Transportation Agency (ANTT) and approval from Brazil‘s antitrust agency CADE.
ECS will pay R$60 million for this interest, as follows: (i) the 1st installment of R$ 44 million will be paid on the date of signing of the agreement; and (ii) the 2nd installment of R$ 16 million (restated by the CDI overnight rate) will be paid 60 days after the payment of the 1st installment.
EcoRodovias reaffirms its commitment to its obligations as a publicly traded company listed on the Novo Mercado segment of the B3 stock exchange, and will disclose all and any material information in accordance with the applicable laws in force.
