Material Fact – Ecoporto Transition Contract

ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“EcoRodovias” or “Company”), in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and Resolution 44/21 issued by the Securities and Exchange Commission of Brazil (CVM), hereby informs its shareholders and the market that on December 2, 2024 its direct subsidiary Ecoporto Santos (“Ecoporto”) entered into Transition Contract No. DIPRE-DINEG/11.2024 (“Transition Contract”) with the Autoridade Portuária de Santos – APS (“APS”), under the terms of Resolution DG No.110-2024-ANTAQ and DIREXE No. 554.2024-APS for the maintenance of port operations and cargo warehousing carried out by Ecoporto.

The Transition Contract ensures the continuity of operations and will remain in effect for 180 days. After this period, if the bidding for the lease of the area is not completed, and the same exploration and operational conditions are maintained, APS is authorized to enter into a new contract for a period of 180 days.

The execution of the Transition Contract does not affect Ecoporto’s rights and obligations, which remain unchanged for the operation of the port facility located in the Valongo region on the Right Bank of the Port of Santos.

EcoRodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3 and will disclose all and any material information in accordance with applicable laws.
