Material Fact – Dividend Payment
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “EcoRodovias”), in compliance with paragraph 4 of article 157 of Federal Law 6,404/76, as amended, and Resolution 44/21 issued by the Securities and Exchange Commission of Brazil, hereby informs its shareholders and the market that, at a meeting held on November 8, 2023, the Board of Directors approved the payment of dividends related to fiscal year 2022, in the amount of R$58,352,606.51 (fifty-eight million, three hundred fifty-two thousand, six hundred six reais and fifty-one centavos), corresponding to R$0.08388560373 per common share of the paid-in capital stock, except for treasury shares, as declared at the Annual Shareholders Meeting of the Company held on April 19, 2023, at 2:30 p.m.
Holders of shares at the close of November 14, 2023 will be entitled to dividends, and starting from November 16, 2023 the shares will be traded ex-dividends.
Dividends will be paid as from November 27, 2023, in accordance with the following instructions:
1) For shares held in custody by the Share Depository Center of the B3, the amounts will be paid to the latter, which will transfer the amounts to shareholders through its custodian institutions;
2) Other shareholders will have their dividends credited to the checking account whose details are registered with Itaú Corretora de Valores S.A., the Company’s transfer agent;
3) Shareholders whose bank data is not available with the Company or who do not have a checking account in a financial institution should visit any branch of Banco Itaú with an identification document, proof of bank data and proof of address for update of registration data in the records.
