ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “Ecorodovias”), ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. (“ECS”) and CONCESSIONÁRIA ECOVIAS DOS IMIGRANTES S.A., (“Ecovias dos Imigrantes”) in compliance with the provisions of paragraph 4 of article 157 of Law No. 6,404/76, as amended, and with Brazilian Securities Commission – Comissão de Valores Mobiliários (“CVM”) Resolution No. 44/21, in continuity with the material fact released on September 23, 2021 and other prior material facts related thereto, announce to its shareholders and to the market in general that yesterday they became aware of the vote which partially granted the Motion for Clarification (Embargos de Declaração) filed by the São Paulo Public and Social Patrimony Prosecutor’s Office against the unanimous decision of the Superior Council of the São Paulo State Prosecution Office (“MPSP”) deliberated in the Civil Investigation No. 14. 0695.489/2.018-9, determining the partial homologation of the Civil Non-Prosecution Agreement (Acordo de Não Persecução Cível) and other determinations which will be the subject to further detailed understandings and clarifications with the competent bodies within the upcoming days, when the Company will inform the market on this regard.
This vote does not interfere with TAM No. 19/2021 of November 24, 2021 (as informed through the material fact disclosed on the same date) entered into between Ecovias dos Imigrantes and the State of São Paulo, which are autonomous and independent legal instruments entered into distinct parties and purposes.
The Company ratifies its commitment to its obligations, as a publicly held company listed on the Novo Mercado of B3, and any and all relevant information will be disclosed in accordance with the relevant current legislation.
