Notice to the Market – Signing of the Ecovias Raposo Castello Concession Agreement
ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company” or “EcoRodovias”) and its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. (“ECS”) hereby inform, in connection with the Material Fact notice disclosed on November 28, 2024, that a Concession Agreement (“Concession Agreement”) was signed on March 14, 2025, between its indirect subsidiary CONCESSIONÁRIA ECOVIAS RAPOSO-CASTELO S.A. (“Ecovias Raposo Castello” or “Concessionaire”) and the State Government of São Paulo, through the Office of Investment Partnerships – SPI (“Concession Authority”), with the São Paulo State Public Transport Regulatory Agency – ARTESP (“ARTESP”) and the Department of Highways – DER acting as consenting-intervening parties, for the operation for 30 years, starting from the date of execution of the Instrument of Initial Transfer (“Execution Date”) of the Nova Raposo Lot Highway System, composed of highway sections SP-270/280/029 and the Cotia-Embu das Artes section, with a total length of 92 km, including 41 km of the system currently managed by the Concessionaire CCR ViaOeste.
The fixed concession fee, totaling R$2,268.2 million (March 2024 base: R$2,190.8 million adjusted by the IPCA), was deposited on March 7, 2025, through the proceeds of the 1st issue of debentures by the Concessionaire, in the amount of R$2,200.0 million at a cost of IPCA + 8.18% p.a., with interest and principal maturing in March 2029, and through a capital contribution made by ECS.
With the addition of this concession to the Company’s portfolio, its network will have 12 highway concessions, totaling over 4,800 km under management, thereby maintaining its status as the largest highway asset management company in Brazil by length.
EcoRodovias reaffirms its commitment to its obligations as a publicly held company listed on the Novo Mercado segment of B3 and will disclose all and any material information in accordance with applicable laws.
