Material Fact – Approval of the 3rd issue of simple debentures
São Paulo, March 23, 2018 – ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. (“Company”), in compliance with Instruction 358 of January 3, 2002, as amended, issued by the Securities and Exchange Commission of Brazil (“CVM”), informs its shareholders and the market that the Board of Directors of the Company, at a meeting held on March 23rd, 2018, approved the 3rd issue of non-convertible, unsecured debentures of the Company, in a single series, for public distribution with restricted distribution efforts, pursuant to CVM Instruction 476 of January 16, 2009, as amended (“Debentures” and “Issue”).
The Issue will consist of 130,000 Debentures, with unit par value of R$1,000.00, for a total of R$130 million on the date of issue. The maturity of the Debentures will be two years from the date of issue, that is, they will mature on April 13th, 2020. The net proceeds from the Issue will be invested in subsidiaries and used as working capital. The Debentures will not have securities of any nature.
