Material Fact – EcoRodovias won the Rota das Gerais auction

ECORODOVIAS INFRAESTRUTURA E LOGÍSTICA S.A. and its direct subsidiary ECORODOVIAS CONCESSÕES E SERVIÇOS S.A. (“ECS”), in compliance with article 157, paragraph 4 of Federal Law 6,404/76, as amended, and Resolution 44/21 of the Securities and Exchange Commission of Brazil, hereby inform their shareholders and the market that ECS won the International Public Bid No. 05/2025 of the National Ground Transportation Agency (“ANTT”), to operate for 30 years from the date of signing of the instrument of listing and transfer of assets (“Concession Term”) the BR-251/MG and BR-116/MG Highway System (“Rota das Gerais”), spanning 734.9 km. The classification was due to the offer of the highest discount on the basic toll tariff of 19.0%.

The Rota das Gerais connects the municipalities of Divisa Alegre/MG, located near the border between the states of Minas Gerais and Bahia, to Governador Valadares/MG via BR-116/MG, and to Montes Claros/MG via BR-251/MG. The highways pass through 26 municipalities and serve as major long-distance logistics corridors connecting the Northeast and Southeast regions. These corridors are extended from Governador Valadares/MG, through Ecovias Rio Minas, and from Montes Claros/MG, via Ecovias Norte Minas, enabling the capture of operational synergies between the new concession and the EcoRodovias group.

The project plans for capacity expansion and improvements, mainly 187 km of road widening and 160 km of additional lanes, with main investment cycle scheduled to take place between the third and tenth years of the concession. Additionally, the concessionaire must implement 9 toll collection points, originally set forth in the concession agreement as toll plazas, which may be implemented in the electronic tolling model (free flow), subject to authorization from the ANTT, with the start of collection following compliance with established conditions.

The concession agreement includes important risk mitigation mechanisms, aligned with those provided for in the recent agreements.

The acquisition of Rota das Gerais is aligned with EcoRodovias’ selective growth strategy, focusing on assets with attractive return rates and disciplined capital allocation, with the objective of maximizing value creation for shareholders. With this asset, EcoRodovias will have 12 highway concessions, totaling more than 5,000 km of highways under management.

After the end of the period for appeals related to the documents submitted, ANTT will ratify and formally announce the results of the auction.

EcoRodovias and ECS reaffirm their commitment to their obligations as publicly held companies and will disclose all and any material information in accordance with applicable laws.
